Unikmind Holdings, which is 100% owned by Israeli billionaire Teddy Sagi, has offered 285p per share for the remaining shares in Kape, in which it already owns a 55% stake. Sagi is also the founder of Playtech, a gambling software company.
Kape Technologies has more than 1,000 employees in offices around the world and is headquartered in London. It is the company responsible for various VPN brands including ExpressVPN and CyberGhost VPN, as well as Intego Antivirus security software for Apple products. In March 2022, its last reported annual results showed an 89% increase in revenue to $230.7 million and an operating profit of $38 million.
Unikmind originally made an offer of 265 pence per share to Kape on 9 December 2022, but this was rejected as it was deemed insufficient for shareholders. On 13 January 2023, Unikmind made a revised proposal of 285 pence, representing a 9.7% premium to Kape's closing share price on the previous Friday.
Assuming the remaining shareholders agree, the acquisition of the digital security software company will join the list of UK-listed technology companies that have been taken over in the last two years. These include cyber group Avast (Gen Digital) and industrial software group Aveva.
